Senior loan for CBD Company - $65mm

Stillwater worked with a CBD manufacturer to obtain a $65mm senior loan facility to secure feedstock and acquisition financing. This was considered to be an industry first with institutional capital lending on a large scale into the CBD space, following the passage of the 2018 Farm Bill, which legalized hemp products nationally.

Hotel Bridge Loan ~ $50MM

Miami Hotelier needed financing to quickly close a 1 yr senior bridge loan. The client needed financing to close quickly on a strategic asset for a future project. Solution: 1 yr senior bridge loan (with two, 1-year extensions) with a major international bank, allowed the developer to close, and have the flexibility to refinance for their future project. Security: 1st lien on the property and cash flows from existing hotel on site.  

New York City Micro Grid Company Investment

 Stillwater invested in New York based MicroGrid Networks, providing capital to accelerate the company’s business plan to update New York City’s electric grid for the 21st century. 

Infrastructure Project ~ $60MM

In partnership with a Tier-1 international bank and a regional (Caribbean) financial institution, won the mandate and secured $60mm in funding for a major road project in the Caribbean. Structured the financing as availability/milestone payments on the project to be paid by the Government, so the risk was essentially sovereign risk, even though the borrower was a construction company from Latin America.  

Stillwater provides loan to manufacturing business

Stillwater provided a bridge loan to a manufacturer of industrial equipment for the water treatment industry, allowing it to win a large contract, which significantly improved the trajectory of the company.

Sovereign Financing ~ $50MM

In partnership with a major international financial institution, secured a $50mm, 50-year loan for a Caribbean government. This was a landmark transaction, as it was the first 50-year financing done in the region.

Term Portfolio Financing ~ $35MM

Owner of a portfolio of long dated illiquid assets sought to leverage its portfolio. Sourced $35mm of 7-year, fixed-rate financing vs. insurance company’s investment portfolio to cover 70% of the purchase price of a long-dated asset. Transaction was structured as Reverse Repurchase Agreement.

Term Portfolio Financing ~ $85MM

Owner of a Portfolio of short dated liquid assets sought to leverage its portfolio. Traditional Repo structure presented regulatory hurdles so financing was structured via a Loan with an embedded interest rate swap. Loan allowed for daily substitution of collateral which allowed owner to trade the portfolio.

Tax Efficient Total Return Swap ~ $125MM

Utilizing the efficiency of a tax treaty between two countries, the team identified assets in a client’s portfolio that were tax inefficient and synthetically re-created the assets so that they were captured under the more efficient treaty.

Vendor Financed Acquisition of Spirits Business ~ $400MM

Non-US Spirits Business sought to acquire a larger Spirits business for $800MM. The size disparity between the acquirer and the target made bank financing very difficult to achieve. The team negotiated a vendor financing structure that led to the closing of the transaction. Post closing and after selling some of the non core assets of the business the vendor financing was taken out with more traditional loans.
